Terms of Service

These Terms of Service (“Terms”) govern your use of singhsaabstudio.com and your engagement of services offered by SinghsaabStudio (“Studio”, “we”, “us”). We help local businesses build an online presence, launch e-commerce storefronts, optimize Google & WhatsApp presence, and drive digital growth (collectively, the “Services”).

By accessing our website, requesting a proposal, or engaging our Services, you agree to be bound by these Terms.

1. Scope of Services

SinghsaabStudio provides specialized digital services for local businesses including:

  • Get Online: Professional websites, mobile UX, domain & hosting setup, and Google Business Profile creation.
  • E-Commerce & Retail: Online storefronts, product catalogue setup, WhatsApp ordering integration, and payment gateway configuration.
  • Get Customers & Growth: Lead capture landing pages, customer review systems, WhatsApp automation workflows, and local SEO.
  • Digital Care & Support: Ongoing website maintenance, updates, technical support, and monthly performance reporting.

Specific project scope, timelines, deliverables, and fees are defined in the written proposal or invoice issued for your engagement.

2. Proposals, Estimates & Commencement

Enquiries or consultation calls do not constitute a binding agreement. A project engagement officially commences upon mutual written agreement (via email, WhatsApp, or formal contract) and receipt of the applicable advance payment.

3. Payment Terms & Structure

Unless overridden by a specific written agreement or proposal, standard commercial payment terms apply:

  • Projects under ₹25,000: 50% advance upon project kickoff / 50% balance before final launch or transfer of live website credentials.
  • Projects ₹25,000 and above: 40% advance upon kickoff / 30% midway milestone / 30% balance prior to final launch.
  • Monthly Care & Growth Plans: Paid upfront at the start of each billing period (monthly or quarterly).

All client payments are made via bank transfer or UPI. Delays in milestone payments may pause project work and extend completion timelines.

4. Client Responsibilities & Content Approvals

To maintain project schedules, clients agree to:

  • Provide required logos, business text, imagery, product details, prices, and credentials in a timely manner.
  • Ensure they possess full legal rights and authorization to use all supplied materials (images, trademarks, branding, testimonials).
  • Review design proofs, content, and staging previews promptly. Final review and publication approval rest with the client.

5. Revisions & Scope Adjustments

Engagements include reasonable iterations within the agreed project scope as specified in your proposal.

  • Major structural changes, additional web pages, new product categories, custom integrations, or major redesigns requested after initial approval will be quoted as separate scope add-ons.
  • We do not offer unlimited revisions. Additional revision rounds beyond agreed terms will be charged at standard hourly/project rates.

6. Intellectual Property & Deliverables

a) Client Deliverables: Upon full payment of all agreed fees, final approved custom design deliverables and website content specifically created for your project belong to you.
b) Studio Property: Pre-existing reusable code modules, internal templates, component libraries, development frameworks, design systems, and general know-how remain the sole intellectual property of SinghsaabStudio.
c) Third-Party Assets: Stock photos, icons, fonts, plugins, themes, and third-party software remain subject to their respective vendor licenses.
d) Portfolio Display: We reserve the right to feature completed non-confidential project work, screenshots, and public site links in our portfolio and social media showcases unless explicitly requested otherwise in writing prior to project launch.

7. Third-Party Platforms & Service Disclaimers

We build and integrate with third-party platforms including Google (Search, Maps, Business Profile), Meta (Instagram, Facebook), WhatsApp, payment gateways, hosting providers, domain registrars, and marketplaces (e.g. Amazon, Flipkart, Meesho):

  • SinghsaabStudio does not control third-party platform algorithms, policies, or server uptime.
  • We cannot guarantee account approval, listing reinstatement, search engine rankings (#1 rank guarantees), specific website traffic, lead volume, or revenue.
  • Clients are responsible for complying with third-party platform terms, policies, and media/ad spends.

8. E-Commerce & Client Business Operations

For clients launching online storefronts, the client remains solely responsible for product compliance, pricing accuracy, inventory, order fulfillment, shipping, tax compliance (GST), legal policies, chargebacks, and customer support. SinghsaabStudio provides technical setup and design support only.

9. Limitation of Liability & Indemnity

To the fullest extent permitted by Indian law, SinghsaabStudio shall not be liable for any indirect, incidental, or consequential damages, loss of profits, data loss, or service interruptions caused by third-party hosting, platform changes, or client delays.

Our aggregate liability for any project claim shall not exceed the total fees actually paid to us for that specific engagement. You agree to indemnify SinghsaabStudio against third-party claims arising from content, images, or assets furnished by you.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Ludhiana, Punjab, India.
